Spider-Man's movie rights are owned by Sony but the Avengers rights are owned by Disney.

... Spider-Man IS an Avenger, though you'll never get to see him in the movies, only in the comic books.

There are so many Avengers. They've started so many new series (New Avengers, Avengers Vs. X-Men, etc.) and added more in. Pretty much any Marvel superhero will have an spot in an Avengers comic book soon.
